The vga upscale is very good but vga color depends on your display. The good news there is that the next update is going to improve vga options so that you can switch colorspaces. Basically VGA should work better with a lot more displays after the update. The 360 scales better than many hdtv's so how much improvement you see is largely dependant on how good the scaler was in your TV to begin with. For me it is a noticeable improvement for DVD's on my dlp projector. Of course now I'm now pretty hooked on hd-dvd's anyway... I'd say they are worth it. As someone with many dvds who isn't ready to forge ahead into the whole HD-DVD/Blu-ray realm I'd say it is a nice (cheap) option to hold out till the hi-def disc wars start to settle and come down in price. You might need a calibration DVD (like Avia) to get the most out of your VGA connection though. I'd say it is worth the $40 assuming (as others above have noted) that your TV plays nice with the signal outputted by the 360.
