I'm moving my home theater to another part of the house because my current home theater room has too many obstacles (Huge window on one side, Not enough width to fit more then a loveseat and no place to really correctly place surrounds)

I would like to move it to another room that is 13.4FT/10.5FT and put my display and seating on each side of the 13.4FT walls. But I have a few problems/concerns and would greatly appreciate any advice. My budget right now is around $500 but that can be used for just walls and acoustics.

Concern 1. Will setting the room up with the HDTV, Speakers, Seating on the longest wall cause any acoustic problems?

Problem 1. The walls currently have fake wood paneling on them, I have seen some people plaster over paneling and repaint but I don't want to mess with that. So I was wondering what some solutions are? I really don't want to tear all the paneling off and put up drywall and plaster, I did that in my last home theater remodel and it was a nightmare because I'm not good at plastering so I had to hire someone for about 400 bucks, I wouldn't mind tearing the paneling off if needed though. I've seen some of the insulation company's offer basement wall systems but they are very pricey it seems. I'd like to have something that is good for acoustics but I also can't afford gom fabric.

Problem #2 The ceiling will need replaced, Would fiberglass ceiling tiles work fine for that? If so, What kind of room lighting is preferable?

My equipment consists of a 50" 50A2020 SXRD 1080P HDTV, And an older receiver, Athena B1.2 fronts, C1.2 center, B1.2 surrounds, Velodyne Sub (I plan to replace the audio equipment in a few months with some paradigm v.5 atom monitors front and back, CC-190 center not sure on the sub yet) Also have other equipment but nothing else that would matter.

Here's a pic of the room layout, Thank you for reading and any advice.
