Norton has a reputation in the biz of being "difficult". He tends to get very involved in his work, often coming in with script/story suggestions & whatnot. Some directors - incl his INCREDIBLE HULK director Louis Letterier (sp?) - enjoy this, seeing him as very dedicated to the craft & concerned with making the best film possible. Other directors, of course, do not want thier "diva" actors meddling. Producers tend to frown on such things as well.
Apparently, Norton's reputation as well as his perceived meddling w/ the HULK script is why Kevin Feige opted to not hire him for AVENGERS. This film was on a tight schedule - a release date was basically set in stone a few years back. Feige/Marvel assumed Norton could very well throw a wrench in the works, hence the switch to Ruffalo.
Considering how prepackaged/prefabricated/preplanned AVENGERS really was, the fact that Whedon & Co managed to take this potential "McMovie" & create such a great piece of entertainment is a testament to the writer/director. I'd suggest they hire Joss for every big Marvel team up flick in the future.
AS to Spidey's reboot so soon....that is simply Sony Pictures keeping their long time grip on the movie rights. Had they waited too long to issue a new SPidey film, the rights could/would fall back to Marvel Studios. Sony doesn't want to let go of that $$, just as 20th Century Fox keeps its hold on the XMen/Fantastic 4 movie rights.
This is also why Spidey, Wolverine, The Thing, Human Torch, et al will likely never turn up in an Avengers film or any film involving one or more of that group (save for the brief apperance of Spider Man in a blooper found on the DVD of the 1st X Men film).
