2GB RAM? 500GB HDD? Also no-name mobo and PSU. The i3-540 is fine for an HTPC but you can do way better building from parts. Just take a look at some of the recent budget builds.

I don't know if the deal is still live but can attest that the Clarkdale i series processors are more than adequate. I have an i3-550 in my HTPC and it does a fantastic job. I also use an i3-650 in my PC that sees even more heavy work doing ripping, transcoding and the like as well as serving up BRD mkv rips to the HTPC for playback.
