So always ask your CC regarding the dispute policy.

Is there not a physical address where the payment was sent by paypal
or credit card company. Call your cc company and ask.
It will take only one person showing up there and asking politily
WTF is up with my order.
I would have NO PROBLEM doing this if it were my $$$$.
I own my business and as a rule
you take the money you must stay in constant communication.
Otherwise someone may show up and ask to my face WTF.
A direct and honest approach is always better than worries.

Other than being an ID speaker company, eD has very little in common with the "other" company you're talking about. I never purchased from them but met MLS a number of times so I followed that story until it's end. eD isn't selling gift certificates, holding raffles, taking pre-orders for new products years before they're ready.....

Wanted to post a follow up ...

I spoke to Alex yesterday, and my two ED-12's (De-250) are now set to ship in the next day or two.

At least we know who the owner of the "other" company and he is now in jail. Unfortunately for customers with serious issues and horror stories with ED, there really is no answer to who really is liable if they decide to pursue legal actions with regards to their unfortunate situations.

In the next day or two... Good luck and hope you get it in one piece. Do be sure to check everything and don't let FedEx go until you do as the packaging they use are made out of cut out cardboards and leftover pieces of styrofoam.

Of course, that is if you will even get it in the next day or two. 2-3 weeks ended up being more than 23 weeks and still counting for a poster here.

Cool, you are going to love those speakers. What kind of sub(s) do you have? I have found 100 hz to be the best sounding crossover with my setup but that could be my room. 80hz sounds good too, but I think I like exaggerated mid-bass.

I already have 3 Ed-12 fronts so these will be the rears ... I have an Epik Empire. My crossover is also set at 100hz...

Cool. I went with the 6 inch cinema bookshelf for rears, 12's would have been ideal though. IMO the Empire and Submersive (which I have) sound similar in the mid bass so I'm not surprised you are also using a 100 hz crossover, it has a very punchy sound this way for music.

What's supposed to be inside the ED speakers, you know, where you can't readily see unless you remove a driver or two? Is there supposed to be any kind of interior dampening material applied to the walls and maybe some polyfill-type stuffing?

Make sure that you check everything before you let Fed Ex go. If there is any damage to a single scratch, you can always choose not to receive it or you can make sure Fed Ex delivery guy acknowledges it in black and white or electronically, so you have a record of it when dealing with warranty issues. Check the packaging and have Fed Ex acknowledge it as well whether you can USE ORIGINAL PACKAGING if you need to return it due to defects as their warranties demand that you use original packaging or warranty is void.

Members just have to get it that because people do voice out their issues, frutstrations and horror stories doesn't mean that we are the enemy. It can only make Elemental Designs straighten themselves out which will benefit all future customers and current owners whether it will be when dealing with warranty issues or whether it will be for a good resale value of such equipments.

This was forwarded to me (excerpted below) by my friend who contacted the Iowa Secretary of State's office.
Quote:
ELEMENTAL DESIGNS, L.C., Corp. #269495 is shown on our records has filing their Articles of Organization on 09/04/2002 and did not file their 2008 biennial report and after two notices thus becoming inactive. We issued a Certificate of Administrative Dissolution for failure to file on 08/11/2008.

This entity may reinstate their entity anytime the want and once we file the reinstatement packet, the entity’s duration is back active retroactive back to 08/11/2008.

The registered agent at the time of the dissolution:
BENJAMIN P MILNE
915 ROYAL DR, CEDAR FALLS, IA. 50613

Our office does not file or maintain owners or anything regarding stock issued by profit corporations/cooperatives. The incorporated entity should maintain this information in their by-laws/minutes and I don’t know if that is open to the public. You may want to contact legal counsel regarding your legal rights to information held by the entities. Your legal counsel should be able to tell you the legal ramifications for doing business and not being active, responsibilities of the businesses.

If you want to file a complaint against an entity, you may need to talk with someone in the Attorney General’s office, Consumer Protection Division: website to get in the AG’s office : www.iowa.gov/government/ag or you may call them at 515 281 5926.
And there you have it. The next steps are up to you.

So do you have any plan of action? Now knowing that Elemental Designs is in some ways not an existing company according to the Iowa Secretary of State and that there seems to be no registered owner... it is obviously not looking good for you. Have you tried contacting your credit card company? Nobody, no customer should ever be put in a situation like yours, but obviously there are many more like you who have been and are still waiting for their paid for products.

Wonder if this really smells really fishy to all of you. Elemental Designs address is 1618 N. 15th Ave. E.Newton, IA 50208. The listed owner of this address per Iowa Jasper County Assessor is a certain --- MILNE.... The adjoining vacant property is also listed to a certain MILNE.

I guess you can inactivate your buisness registration but you can't hide from the TAXMAN.

Doesn't seem fishy. I'd imagine the building is owned by Ben Milne's older relative (father?) and is being leased. I trust they're not 33 weeks behind in payment.

The question remains.... who is liable for all the serious issues of customers if they decide to seek legal help? With Elemental Designs not having clear ownership, what protection do customers who have prepaid orders and have been waiting and waiting for months with some of them going on more than 33 weeks and counting as well as owners who have issues with their warranties being disclaimed?

If the company was sold to Alex, then he would be ultimately responsible since he's no longer afforded the protection that comes from a LLC. Howeevr I'd be surprised if enough people sought out the legal remedies afforded to them under law. I only saw a paltry few do so with AV451 and I thought it was pretty obvious they were faster than the Titanic. To me the prudent thing to do for those who are past due their products is to seek the assistance of their creidt card issuers if it falls within the window. The others, well it's already been stated how they should seek restitution.

Not that excited to get into it huh.. How is the packaging? Is it something that you can still use when something is wrong with it that it needs to be repaired? You have to remember that you are demanded to use the ORIGNINAL PACKAGING when shipping it back or warranty will be void.
