- they bought ReplayTV + Rio for $36.2 million. (so the guy at the empeg board was right, $18m for rtv, $18.2m for Rio)

(i think this means replaytv and rio will continue to be sold as they are and customers will be retained. yipee!!)

That's good news for us Replay people.. it's even better news for the Empeg guys. Empeg technology in a Denon car headunit could be the next best thing to sliced bread.

Even though I'm not a Replay fan... Replay surviving is a good for PVR users in general. Competition is a good thing. It will force Tivo and other products to continue to innovate and improve.

D&M Holdings to buy Sonicblue's ReplayTV

NEW YORK, April 16 (Reuters) - Japan's D&M Holdings Inc. (Tokyo:6735.T - News) won a bankruptcy court auction to acquire Sonicblue Inc.'s (Other OTC:SBLUQ.PK - News) ReplayTV television recording service and Rio business unit for about $36.2 million, Sonicblue said on Wednesday.



ReplayTV is the brand name for Sonicblue's personal digital recorder, a set-top box that allows users to save television programming to a hard drive and play it back when they choose.


In a statement, Sonicblue Chief Executive Gregory Ballard said the sale finished a difficult chapter in the company's history.


"We have done all that we can for our creditors, and our product lines will continue to compete successfully in the marketplace," he said. He added that many, if not most, of Sonicblue's employees will continue their work.


D&M Holdings sells high-end consumer audio products under the brands Denon and Marantz. Chief Executive Tatsuo Kabumoto said ReplayTV and Rio were the perfect complement to its existing product line.

D&M Holdings also reveals plans to establish a digital development group in

North America to drive strategy and develop technology for

the entertainment-based digital home network -


TOKYO, April 16 /PRNewswire-FirstCall/ -- D&M Holdings Inc.

(TSE II: 6735), parent company of Denon, Ltd. and Marantz Japan, Inc.,

announced today that it was successful in a bid to acquire certain assets

comprising the digital video recorder and MP3 business units of SONICblue

Incorporated, a U.S. company. D&M Holdings will purchase those assets, which

include the ReplayTV(R) and Rio(R) brands, for $36.2 million.

The bidding process occurred Tuesday during an auction of SONICblue's

assets in the U.S. Bankruptcy court in San Jose, California. The transaction

is expected to close in approximately 10 days.

D&M Holdings is purchasing inventory, receivables, intellectual property

and capital equipment. The company will also take over selected contractual

relationships and liabilities. D&M Holdings intends to keep all ReplayTV

customers and will design, manufacture and distribute a line of ReplayTV and

Rio products.

For the last 12-month period, ReplayTV had revenue of approximately

$22 million and Rio had revenue of approximately $62 million. The impact to

D&M Holdings' earnings in fiscal year 2003 is not fully determined at this

time. Given the nature of these assets, the reduction of certain expenses and

liabilities as a result of the bankruptcy process and identified restructuring

activities, D&M Holdings expects this purchase to be slightly dilutive to

earnings in fiscal year 2003 but accretive thereafter. Despite this dilution

and with the effects of the new businesses in fiscal year 2003, D&M Holdings

remains comfortable with the consensus market analyst earnings per share

estimates for fiscal year 2003.

D&M Holdings also announced plans to establish a new digital development

group under D&M Holdings U.S., Inc. The business assets purchased from

SONICblue will be merged into this new digital development group. The new

subsidiary, Digital Networks North America, Inc. (DNNA), will drive the

1. Will the "service" continue as is? (ie: no price increases)

To tell the truth, my major requirements for my Replays are that they keep functioning at least as well as my 3030 (which the 4000s don't actually do), continue to do in-house video streaming and get guide data.


CA is nice, but not critical (to me). IVS is nice, but not critical (to me).


Mostly, I want guide data.


And speaking for myself, at least one of my Replay boxes is bound to be replaced by the first HD capable PVR to come along. It's up to ReplayTV to decide whether they want to be the ones to supply it.

That is GREAT NEWS!

I thought I was going to have to buy it myself, but my wife gave me such a hard time with the 4320 ("do we need that?", "Why do we need that?",etc...), I didn't know how to approach her about buying the whole company.


This is much easier.

Ahh, Just got back from doing the "Church Lady" superiority dance around the house.


Now, I'm with Toots, CA to me is very nice especially for the kids shows, but not super critical. IVS Nice, but not critical to me. (Home Network Extraction IS important though).


Maint Release of the software is needed to improve stability and streaming (It seems that build 350 is an indicator that improvements are on the way).


I can finally give up the mental image of me in my front yard working on my Olympic Hammer toss technique, using my Replay swinging at the end of it's cord!
