I upgraded from a Zalman CNPS6000-Cu to an XP-120 a couple of weeks ago. It dropped the CPU temp by about 6-8C by maintaining the same noise level. I kept the 120mm Papst fan, which runs at reduced speed and hence is close to silent. I use it with a 2.8C OC'ed to 3.3GHz running @ about 60% load.
If it fits in your case/on your mobo it is a nice heatsink. (Mine is a DIGN4e/ P4C800E-Dlx - I had to slightly bent some of the capacitors to make if fit )
